The deal comes with a 21-day go-shop period and has a $400 million termination fee. Shares of Safeway lost 1.95 percent, closing at $38.70.

Soft pretzels, ranging in size from one to ten ounces in weight, are shaped and formed by the Company�� twister machines. These soft pretzel tying machines are for twisting dough into the traditional pretzel shape. In addition, it makes soft pretzels, which are extruded or shaped by hand. The Company�� marketing program in the Food Service segment includes supplying ovens, mobile merchandisers, display cases, warmers and similar merchandising equipment to the retailer to prepare and promote the sale of soft pretzels.

Frozen Juice Treats and Desserts

The Company�� frozen juice treats and desserts are marketed primarily under the LUIGI��, WHOLE FRUIT, ICEE and MINUTE MAID brand names. Frozen juice treats and desserts are sold in the Food Service and Retail Supermarke! ts segmen! ts. During fiscal 2012, frozen juice treats and dessert sales were 13% of the Company�� revenue.

The Company�� school food service MINUTE MAID and WHOLE FRUIT frozen juice bars and cups are manufactured from an apple or pineapple juice concentrate to which water, sweeteners, coloring (in some cases) and flavorings are added. The churros are deep fried, frozen and packaged. At food service point-of-sale they are reheated and topped with a cinnamon sugar mixture. The Company also sells fruit and creme-filled churros. Handheld Products

The Company's dough enrobed handheld products are marketed under the PATIO, HAND FULLS, HOLLY RIDGE BAKERY, VILLA TALIANO, TOP PICKS brand names and under private labels. Frozen Beverages

Under the Company�� principal marketing program for frozen carbonated beverages, it installs frozen beverage dispensers for its ICEE and ARCTIC BLAST brands at customer locations and thereafter services the machines, arranges to supply customers with ingredients required for production of the frozen beverages, and supports customer retail sales efforts with in-store promotions and point-of-sale materials. During fiscal 2012, the Company also provided repair and maintenance service to customers for customers��owned equipment and sells equipment in its Frozen Beverages segment, revenue from which amounted to 7% of sales.     One place to look for it this week has been in the ADRs, the New York traded ADRs, American Depository Receipts of GOL. One of the two big Brazilian airlines is the only one that is not owned by somebody else. The symbol is (GOL). It went up like 9.5% on October 21; it went up about 4.5% on October 22, pulled back a tiny little bit on October 23, but still a major, major move. This is basically on the effect of a weaker dollar versus the Brazilian real, since GOL is basically a domestic airline and almost all their revenue is denominated in real, which means that when the real gets cheap against the dollar, it hurts their revenue, especially because most of their costs, a lot of their costs, probably about 80% of their costs are denominated in dollars. A strong dollar means what they pay for oil, kerosene, jet fuel, what they pay for debt service, what they pay on airplane leases, all denominated in dollars, goes up, so GOL has been getting hammered on this. The reversal of this is a big deal for the stock.

The Brookfield Group Looks Ready For M&A

I expect the Brookfield Group of Companies, which is composed of no fewer than 15 publicly traded entities, to be very active acquisitive in the near-term future. Here I focus my attention on three members of the Brookfield Group that are going to be the most active with M&A. While Brookfield Asset Management (BAM) will concentrate its M&A efforts into all geographies and all asset classes, Brookfield Renewable Energy Partners (BEP) and Brookfield Infrastructure Partners (BIP) will concentrate on their respective industries. Let's see whether you should go long on any of this separate -although related - entities.

Good Operational Performance

Brookfield Asset Management, held by Lou Simpson and Ron Baron, counts with a liquidity position of more than $5 billion at the parent and principal subsidiaries along with nearly $10 billion drawable private fund commitments. More importantly, the company has expressed its interest into using this liquidity to make acquisitions. Management clearly stated in its letter to shareholders:

"We have a robust pipeline of exceptional opportunities in front of us in all of our businesses (...). Today, we are being offered a variety of attractive opportunities to acquire assets and assist companies with capital needs, as companies refocus their core strategies, and governments reconsider how they will deliver critical infrastructure and services."

Brookfield Asset Management has reaffirmed its interest in European attractively priced assets. With this in mind, and given that the company is usually more price sensitive than most investors, I think Brookfield Asset Management is poised to deliver great performance through buying European high-quality assets. That said, the company's valuation seems rich at 2013 18.6 times P/E and 230% tangible book value. I would keep the company into my watch-list but I would not go long at current prices.

Trading at the Right Price

Brookfield Renewable Energy Partners, which has been very acquis! itive during the last few months adding new opportunities to its portfolio, looks now undervalued. The reason to explain the existing overhang on the stock is clearly related to the equity issuance launched in June, which was later pulled given "non-ideal" market conditions. That said, I believe the market shouldn't have reacted against the stock since the issuance was simply planned to build funds in order to increase M&A activity beyond the company's $1 billion current liquidity position.

Brookfield Renewable now offers a very attractive 5.6% distribution yield, above its 5% historical average. Selling for 8.8 times 2013 operating cash flow, I think Brookfield Renewable is a great way to get exposure to a globally diversified source of renewable projects. Moreover, I am not the only one thinking of Brookfield Renewable, successful funds such as the KBI Alternative Energy Strategy are also long on the name.

Eyes Set into the Future

Brookfield Infrastructure, which is also held by Ron Baron, has enviable liquidity. The company's current liquidity position is approximately $2.5 billion, out of which $1.1 billion is cash on a pro forma basis (after the closing of recent transactions). I think the company's value should be measured in terms of its future and the steady deployment of its existent capital.

Brookfield Infrastructure has a number of potentially profitable areas for investment around the world but, above all, in infrastructure hungry Emerging Markets (EM) such as Brazil. According to Credit Suisse analysts, in Brazil, funds can be invested at Funds From Operations (FFO) yields above 12%. Therefore, the company's ability to grow its distribution yield, whether through acquisitions or organically, is critical to evaluate the company's value. Moreover, the currently conservative dividend payout ratio should allow Brookfield Infrastructure to self-finance on going opportunities.

The company has targeted to growth its annual distributions by 3% to 7% with a FFO payout! ratio of! 70%. Hence, I believe the currently fair 4.75% dividend yield could go as high as 5.5% by the end of 2014. Trading at 11 times its operating cash flow, I think Brookfield Infrastructure is a solid investment for those looking for a good cash yield and EM exposure.

Conclusion

The Brookfield Group of Companies offer a great way to get into different markets in an efficient way. A proven management with a very strict acquisition criteria — they never pay too much — and ample sources of private and public capital make these companies ideal options for portfolios looking for diversification. That said, you should always be wary of not paying too much for the assets you are buying. I believe that Brookfield Renewable Energy Partners and Brookfield Infrastructure are good buys for those looking to get into renewable energy projects or global infrastructure. Brookfield Asset Management looks expensive at this point in time.

Amazon.com's� (NASDAQ: AMZN  ) �first quarter was strong on an absolute basis but was hit-and-miss when it came to expectations.

Net sales grew 24% if you disregard currency exchange rates, which topped expectations, and gross margin widened from 24% to 26.6% thanks to a higher mix of third-party and digital sales as well as growth in advertising and Amazon Web Services. Paid unit growth of 30% outstripped sales growth for the same reasons and highlights Amazon's continued gains in market share -- overall U.S. e-commerce probably grew only about 15% last quarter.     Insurance operating income jumped 28% compared to 2012, while investment income was relatively flat. The company has been working on both its underwriting practices and risk selection. And though the flat nature of its investment income may seem disappointing, all of the players in the insurance market have been dealing with pressure from the low interest rates. So the investment income generated by AIG is sign of strength in a difficult environment, with both positive returns from higher securities values and alternative investments. Competitor Allstate (NYSE: ALL  ) noted in its earnings report Wednesday that it was moving into more cash-generating investments that would ultimately lead to lower investment income in the future. AIG hasn't made the same move, and may end up benefiting from the decision to hold firm.

    But, to my mind, the biggest news of last week for the valuation of Cheniere actually came from Royal Dutch Shell (RDSB). Europe's biggest oil company announced that it would halt plans to build a $20 billion natural gas of liquids plant in Louisiana, even though the state of Louisiana had agreed on $112 million in subsidies. The project would have used cheap US natural gas to produce 140,000 barrels a day of liquid fuels normally made from oil. Royal Dutch Shell cited rising costs and uncertainty about oil and natural gas prices by the time the plant entered operation, in canceling the project.

    Cassandra Hubbart, AOL NEW YORK -- Hulu has failed to persuade a federal judge to dismiss a lawsuit accusing the video streaming service of illegally sharing users' viewing history with Facebook (FB) and business metrics company ComScore (SCOR) U.S. Magistrate Judge Laurel Beeler in San Francisco on Friday rejected Hulu's argument that viewers needed to show actual injury to recover damages, even if they qualified as "aggrieved" persons under a 1988 federal law protecting the privacy of video renters. That law, the Video Privacy Protection Act, was adopted after a newspaper in 1987 published an article about movies that the Supreme Court nominee Robert Bork had rented. Hulu had argued that the law "was not adopted to impose multibillion dollar liability on the transmission of anonymous data where no one suffers any actual injury." Beeler, however, concluded that "the statute requires only injury in the form of a wrongful disclosure" before damages might be available. She didn't rule on the merits of the case. Hulu is a joint venture owned by Comcast's (CMCSA) NBCUniversal, 21st Century Fox's (FOX) Fox Broadcasting, and Walt Disney's (DIS) ABC. Chief Executive Officer Mike Hopkins on Dec. 18 said Hulu will post $1 billion of revenue in 2013, up from $695 million in 2012. The lawsuit seeks class-action status on behalf of Hulu users nationwide. It was brought by several people in California, Illinois and New York seeking damages of at least $2,500 per violation, plus punitive damages and other sums. These plaintiffs claimed that Hulu let third parties engaged in marketing, advertising, and social networking track their video choices without permission. They claimed that Hulu sent such information to Scorecard Research, a comScore market research unit, and sent "Facebook IDs that linked their video choices to personally identifiable Facebook registration information." The Permian Basin is one of the oil and natural gas producing basins in the United States, extending over 100,000 square miles in West Texas and southeast New Mexico, and has produced over 24 billion barrels of oil. The Company owns an 83% average working interest across 665 gross (552 net) wells and operates approximately 92% of its properties in the Permian Basin. The Company�� properties in the Red Lake area is an oil-weighted field located in Eddy County, New Mexico. The Red Lake properties have produced approximately 4.9 MMBoe. The primary producing formations are the San Andres and Yeso at a depth of approximately 2,000 to 5,000 feet. The Company operates approximately 99% of its proved reserves in the Red Lake area, including 157 gross (144 net) producing wells in the field with an average working interest of 92%, and own a non-operated working interest in 10 gross (3 net) additional wells in the area with an average working interest of 31%. The Company�� properties in the field contained 9.6 MMBoe of estimated net proved reserves as of March 31, 2011, approximately 86% of which are oil and NGLs, and generated average n! et produc! tion of 1,410 Boe/d for December 31, 2010. These properties represented 32% of its total estimated proved reserves as of March 31, 2011 and 22% of the Company�� pro forma average net production for December 31, 2010. In addition, these properties had a standardized measure of $163.3 million as of March 31, 2011, which represented 48% of the total standardized measure for all of the Company�� estimated proved reserves.

The Company�� properties in the Pecos Slope area is a gas-weighted field located in Eddy, Chaves, Lea and Roosevelt Counties, New Mexico. The Company operates approximately 100% of its proved reserves in the Pecos Slope area, including 434 gross (382 net) producing wells in the field with an average working interest of 88%. The Company�� Willow Lake field is an oil-weighted field located in Eddy County, New Mexico. There are 41 gross (8 net) producing wells in this area with an average non-operated working interest of 19%. The Cowden Ranch area is an oil-weighted field located in Crane County, Texas. The Company operate s100% of its proved reserves in the Cowden Ranch area, including 8 gross (approximately 5 net) producing wells in the field with an average working interest of 71%. The Company�� properties in the Corbin and Vacuum have produced approximately 3.0 MMBoe. Capitalize on the Offshore Drilling Recovery With National Oilwell Varco

Over the past few years, there was a boom in the offshore drilling sector. Due to this, offshore drilling companies began construction on an enormous number of offshore drilling rigs. Naturally, this also led to an enormous demand for equipment for these rigs, such as that manufactured by National Oilwell Varco (NYSE: NOV  ) .

Of course, as many of you know, this boom ended around the end of last year, and the offshore drilling sector is currently in a slowdown; this has naturally resulted in offshore drilling contractors ordering fewer rigs from shipyards. This has in turn led to a reduction in the demand for equipment for these drilling rigs. 

This is one reason why National Oilwell Varco recently stated that it expects rig technology orders to decline this year compared to last. However, this slowdown is likely to be short term, and once the industry speeds up again these orders will likely increase. Thus, we could be seeing an opportunity to buy into the stock of an excellent company on weakness.

Causes for industry slowdown
There were a few causes for the slowdown in the offshore drilling industry. A large number of newbuild rigs entered the worldwide fleet at a time when large oil companies have been seeing constrained cash flows due to escalating costs of maintaining their current production. This resulted in oil companies demanding fewer rigs to develop their offshore oil fields just as large numbers of new rigs were entering the world's rig fleet. The supply of rigs is now greater than the demand for them, which is a stark reversal of the situation that was present over the previous few years.

Downturn likely to be short-term before returning to growth
This naturally caused offshore drilling contractors to stop purchasing as many rigs to prevent supply from getting too far ahead of demand. However, by all indications, this downturn is likely to be a short-term one. National Oilwell Varco essentially stated this in its first quarter results with its statement that all the "easy oil" has been found, so future oil production will depend heavily on unconventional plays such as ultra-deepwater fields.

The consumption of oil worldwide isn't going anywhere anytime soon, so the activities of oil companies in these areas must increase as more conventional fields steadily decline. As the oil companies steadily increase their activities in the offshore space, particularly in ultra-deepwater areas, contractors will be forced to construct more rigs. They will thus require equipment produced by National Oilwell Varco and its peers Cameron International (NYSE: CAM  ) and Schlumberger (NYSE: SLB  ) .

Morgan Stanley and leading offshore consulting firm Rystad Energy agree with this, projecting that the demand for offshore drilling rigs will once again begin to exceed supply by 2016-2017. This will lead offshore drilling contractors to begin constructing an increasing number of drilling rigs, which should prove accretive to National Oilwell Varco's forward growth.

Cheap stock
National Oilwell Varco's stock price fell following its first quarter earnings, but it rebounded somewhat in the days following. The company's stock currently trades close to its 52-week high. However, it could still offer a good value at the current price due to its relatively low P/E and high dividend compared to many other potential investments. At the time of this writing, National Oilwell Varco has a P/E of 14.67 and a dividend yield of 2.30%.

Other ways to play the investment thesis
National Oilwell Varco is not the only way to play the return of the offshore drilling industry as both Cameron International and Schlumberger make equipment for offshore rigs. Cameron currently trades with a P/E of 22.79 and pays no dividend. Schlumberger trades with a P/E of 19.06 and has a dividend yield of 1.60%. As such, National Oilwell Varco looks to be the cheapest company among these options.

Home equity loans pick up, but slowly

Home equity loans, which helped fuel Americans' pre-recession spending binges, are climbing out of a prolonged slump as house prices rise. But don't expect them to drive consumer purchases as they did in the boom years.

"Housing isn't providing the same juice to consumer spending," says Mark Zandi, chief economist of Moody's Analytics.

Outstanding balances on home equity lines of credit fell for the 10th straight quarter in the January-March period to $526 billion and are down from $714 billion in the first quarter of 2009, according to a recent report from the Federal Reserve Bank of New York.

The balances dropped because homeowners continue to shed more debt on home equity loans taken out in the housing run-up — through repayments and defaults — than the amount of new loans being generated.

But a closer look shows the sector is recovering. Lines of credit originated by lenders rose 20% last year to $92.5 billion, by far the fastest growth since volumes began rising in 2011, according to Equifax and Moody's. By comparison, $383.8 billion in credit lines were originated in 2006.

"It has recovered significantly from where it was just a few years ago," says Greg McBride, chief financial analyst for Bankrate.com.

Fueling the increase are average home prices that in February were up 23% from their March 2012 low in 20 large cities, according to the S&P/Case-Shiller index. Houses serve as collateral in case of default.

"As long as home prices are stable or increasing, lenders are more eager" to provide home equity loans, McBride says.

But banks remain cautious. Consumers can borrow — through both a mortgage and home equity loan — 80% to 85% of a home's value, vs. as much as 125% in the mid-2000s, McBride says. With home prices still 20% off their 2006 peak, many homeowners don't have enough equity to meet banks' credit standards.

During the housing boom, borrowers famously turned their homes into ATMs, taking out equity loans not only to remod! el kitchens but to finance everything from college tuition to European vacations. When home prices tanked, many Americans defaulted.

Borrowers also have become more conservative. In the mid-2000s, LuAnn Herbert-Smith of Greentown, Pa., got a home equity loan to launch a business and buy a vacation home. She and her husband, who now live in a different house, recently took out a $30,000 equity loan to install a new roof, replace appliances and buy a new car.

"We took out only what we can afford and what is needed," Herbert-Smith, now retired, said in an e-mail.

Such prudence may translate into a smaller boost for the economy. Each $1 increase in housing wealth is leading to about an 8 cent rise in consumer spending — about half of the traditional impact, Zandi says.

Economist Greg Daco of Oxford Economics says that may not be a bad thing. "I'm not sure this is the type of debt we want to head back into," he says.

    The winter of 2013/2014 was one most transportation companies—including railroads—would probably like to forget.

    Union Pacific's roots go all the way back to the Civil War, when President Lincoln approved the Pacific Rai lroad Act of 1862 to encourage expansion in non-Confederate territories.     Today, the company operates a 32,000-mile freight network in the western two-thirds of the country, where it spans 23 states.
